The content of the major 12.00.07 “Corporate law; energy law” is a complex study of organizational, property and other public relations associated with participation in corporate organizations and with their management, as well as property relations for the production and use of energy resources, as well as relations for the distribution and management of energy capacities.

Areas of research

1. Corporate law

1.1. Relationships associated with participation in or management of corporate organizations as a subject of corporate law. Methods of legal regulation of corporate relations.

1.2. Types of corporate relations. Corporate legal relationships: the grounds for their origin, change and termination. Subjects, objects and content of corporate legal relations. Rights and obligations of the participants (members) of the corporation.  Features of legal regulation of state participation in corporate legal relations. Features of the legal status of public legal entities as a shareholder and their exercise of their right to participate in the management of the corporation.

1.3. The concept, goals, principles, and methods of corporate governance.

1.4. Articles of Association, internal regulations, and internal documents of the corporation. The concept of a corporate agreement. The ratio of the corporate agreement and the charter of the corporation. Parties of the corporate agreement; participation of third parties in a corporate agreement. Code of corporate conduct (governance) and corporate governance standards.

1.5. The authorized capital of the corporation. The authorized capital and property of the corporation. Formation of the authorized (share) capital of the corporation. Change in the authorized capital of the corporation. Placement of shares. Acquisition of large stakes in the corporation. Voluntary and obligatory offer to acquire shares in a joint-stock company. Contribution of the corporation member to its property, not accompanied by a change in the authorized capital.

1.6. Features of legal regulation of formation and activities of corporate bodies.  Competence of corporation bodies. Decisions of collegial bodies of the corporation (decisions of the meeting) and requirements for them; conditions of their validity.  Contestability of the decision of the meeting. The nullity of the decision of the meeting.  Board of directors of a business entity. Executive bodies of the corporation.  Features of the responsibility of the corporation’s bodies and members of its management bodies.

1.7. Internal control (internal audit) in the corporation. Auditing сommission (auditor).

1.8. Features of responsibility in corporate relations. Responsibility of the controlling person.

1.9. Features of the legal status of certain types of corporations.

1.10. The legal nature of conflicts of interest in corporate relations. Hostile takeovers (corporate takeovers) as a type of corporate conflicts. Corporate blackmail.

2. Energy law

2.1. Subject, methods, functions, and principles of energy law.

2.2. Sources of energy law. Energy strategy of Russia. Energy efficiency and energy saving. Energy capacities and resources.

2.3. State regulation and control in the field of energy. Competition and energy tariffs.  State regulation of the use of primary energy sources. The legal regime of renewable energy sources. Reenergetics.

2.4. Ownership of federal and other energy systems. Peculiarities of legal regulation of subjects of natural monopolies in the fuel and energy complex for infrastructure objects (electrical networks, pipelines, etc.). State regulation of non-discriminatory admission of energy carriers to trunk pipelines.

2.5. Legal status of organizations engaged in entrepreneurial activities in the field of energy production and use. Legal status of the open joint-stock company Gazprom, the state corporation Rosatom, the federal grid company Energy Networks of Russia and other large energy companies.

2.6. Legal regulation of the organization and functioning of energy markets: the concept and types of markets.  Contractual relations in the electric power industry, gas supply, oil and coal industries, heat supply. Features of legal regulation of entrepreneurial activity in the nuclear power industry.
